L’Emprunteur «Les États Contractants (Burundi, République Démocratique du Congo, Rwanda) et la Ruzizi III Energy Company (REL)»; REL étant une Société à Finalité Spécifique (SFS) qui sera détenue par Industrial Promotion Services, SN Power (détenu par Scatec ASA) et les États Contractants. L’Emprunteur a obtenu pour l’instant de la Banque Africaine de Développement, l’approbation d’une partie du financement pour le projet de la Centrale hydroélectrique de 206 MW (203 MW pour la Centrale principale et 3 MW pour la centrale à débit écologique). En outre, l'emprunteur est en cours de négociation actuellement de la différence du montant nécessaire au financement de ce projet auprès d'un certain nombre d'autres bailleurs de fonds multilatéraux, tel que la Banque Mondiale (BM), la Banque Européenne d'Investissement (BEI), Kreditanstalt für Wiederaufbau (KfW), l’Agence Française de Développement (AFD) et l’Union Européenne (EU). L’Emprunteur a l'intention d'utiliser une partie de ce financement pour les services de consultance. 

Ce projet comprendra la conception, la construction, la mise en service, les essais, l’exploitation et la maintenance de (i) une centrale de production hydroélectrique avec une capacité installée de 206 MW, comprenant un barrage en remblai, haut de 45 mètres avec un déversoir de crue annexe, une décharge à bas niveau et une centrale à débit écologique, un tunnel d'amenée revêtu de béton, de 3.8km de long et 6.7m de diamètre reliant le réservoir du barrage à la centrale, à la conduite forcée et aux conduites forcées unitaires, une centrale électrique comprenant trois unités de production, routes d'accès à partir de Bugarama (Rwanda) et Kamanyola (RDC) jusqu’au site du barrage, ainsi que tous travaux auxiliaires et annexes (la “Centrale”) et (ii) une ligne de transport circuit double de 7.3 km servant à évacuer l'électricité de la Centrale  jusqu'à la station de répartition de Kamanyola (RDC) (la “Ligne de Transport”).

REL et EGL se sont convenues d’engager conjointement les services d’un Ingénieur Indépendant pour fournir un avis d’experts et des services de certification sur demande de REL et de l’EGL.  

Les services spécifiques qui seront exécutés par l'Ingénieur Indépendant (les “Services”) sont répartis en quatre (4) parties. Chaque partie est brièvement décrite ci-dessous et est abordée plus en détail dans les Termes de Référence. Partie 2, va faire l’objet d’une procédure distincte de sélection en temps opportun.

Les Services devront être fournis en conformité avec le calendrier de Projet suivant, sous réserve d'ajustements en fonction de l’avancement réel du Projet :  

 
Le Consultant peut obtenir les Termes de Référence détaillés (TdR) pour ce mandat directement à partir de la Salle des Données Virtuelles (VDR). Pour obtenir l'accès à la VDR, le consultant enverra un courriel électronique à l’adresse IEprocurement@ruzizienergy.com. 

REL et EGL invite présentement les firmes de consultance éligibles (les “Consultants”) à exprimer leur intérêt à la prestation de ces Services. Les consultants intéressés doivent produire des informations sur leur capacité et expérience démontrant qu’ils ont les qualifications requises pour les prestations. L’information suivante sera fournie lors de la soumission d’Expressions d'Intérêt
(EI):

1. Une lettre d’accompagnement exprimant l'intérêt à la prestation des services
2. La capacité et l'expérience du Consultant
3. Déclaration générale de la capacité actuelle à fournir les Services, y compris:

1. Un aperçu des capacités d’expertise de gestion et de technique/professionnelle (CV ou mention d’individus spécifiques non requis)
2. Capacité à fournir les Services
3. Système de gestion de la qualité du Consultant et/ou accréditation ISO

1. Déclaration générale sur l’expérience acquise dans les mêmes ou similaires Services sur des projets hydroélectriques y compris:

1. Nom et lieu du projet
2. Détails du projet
3. Détail des Services fournis par le Consultant
4. Numéro de référence et coordonnées du client

1. Un rapport financier audité / rapporté sur les cinq années précédentes (2016, 2017, 2018, 2019 et 2020) ;
2. Confirmation que le Consultant répond aux critères applicables de la liste restreinte cités ci-dessous relatifs aux :

1. Conflits d’Intérêt
2. L'inéligibilité, l’exclusion définitive ou les sanctions
3. Litiges antérieurs ou actuels.

Les critères de la liste restreinte pour la sélection des candidats qui seront invités à soumettre leurs propositions seront comme suit:

1. Le Consultant est en activité depuis au moins 5 ans ;
2. L'expérience la plus pertinente en prestation des services similaires dans un Projet Hydroélectrique d’envergure similaire au Projet Régional Hydroélectrique Ruzizi III. Au minimum, le Consultant doit avoir fourni les mêmes services ou similaires, ( ex: Ingénieur Indépendant; Panel d’Experts techniques, Panel d’Experts en sécurité; etc.) fournis dans au moins deux (2) Projets similaires. 
3. Preuve d’une bonne situation financière et d’un Chiffre d’Affaires Moyen équivalent à : 2,000,000 de Dollars Américains (USD) sur les cinq (5) années passées (2016, 2017, 2018, 2019 et 2020);
4. Le Consultant n’a pas de conflits d'intérêt en accord avec les exigences stipulées dans cet Avis à Manifestation d’Intérêt ci-dessous.
5. Le Consultant n’est actuellement pas inéligible, exclus ou sanctionné:

1. Par un signataire de l’Accord en vue de l’Application Mutuelle des Décisions d’Exclusion entre les Banques Multilatérales de Développement.
2. Par le Conseil de Sécurité des Nations Unies en vertu du Chapitre VII de la Charte des Nations Unies,
3. A la suite de toute pratique de corruption, de fraude, de coercion ou d’obstruction ou de paiements illicites par un Etat contractant à titre individuel ou du pays d’un Sponsor à titre individuel.

1. Le Consultant n’a pas été ou n’est pas actuellement l'objet de litige ou d’arbitrage découlant de la nonperformance alléguée des mêmes, ou similaires, Services par le Consultant au cours des cinq (5) dernières années.

 
Les Experts Clés ne seront pas évalués à cette étape, seules les expériences du Cabinet et/ou du Groupement des Cabinets seront considérés.

L’attention des Consultants intéressés est attirée sur la Section III , paragraphes 3.14, 3.16 et 3.17 du « Règlement de Passation des Marchés pour les Emprunteurs sollicitant le Financement de Projets (FPI) » Quatrième Édition, Novembre 2020 (“Règlement de Passation de Marchés”) établissant la politique de la Banque Mondiale sur les conflits d'intérêt. En complément, le Consultant ne pourra pas: 

1. Avoir un conflit d'intérêt avec un Emprunteur à titre individuel; où
2. Avoir un conflit d'intérêt avec un Sponsor à titre individuel ou EGL; où
3. Avoir un autre engagement actuel ou antérieur sur le Projet avec un Emprunteur à titre individuel,
4. Avoir un autre engagement actuel ou antérieur sur le Projet avec un Sponsor à titre individuel ou EGL.

 
Les consultants peuvent se mettre en association avec d'autres firmes pour augmenter leurs chances de qualification, mais doivent indiquer clairement si l’association est sous la forme d' une coentreprise et/ou d’une sous-consultance. Dans le cas d’une coentreprise, tous les partenaires seront conjointement et solidairement responsables pour la totalité du contrat.

Un consultant sera sélectionné en fonction de la Méthode de Sélection Basée sur la Qualité stipulée dans le règlement de passation des marchés de la Banque Mondiale applicable.

REQUEST FOR EXPRESSIONS OF INTEREST
(CONSULTING SERVICES – FIRMS SELECTION)

Republic of Burundi, the Democratic Republic of Congo and the Republic of Rwanda 

Ruzizi III Regional  Hydropower Project

Assignment Title: Independent Engineer

The Borrower (the Contracting States (Burundi, Democratic Republic of Congo (DRC), Rwanda) and Ruzizi III Energy Limited (REL)); REL a special purpose company who is going to be owned by Industrial Promotion Services and SN Power (owned by Scatec ASA) (the “Sponsors”) and the Contracting States. The Borrower has currently secured from the African Development Bank, approval for part of the funding for the 206 MW (203 MW for the main powerhouse and 3 MW for the small-hydro on the ecological flow). In addition, the Borrower is currently negotiating the difference in the amount required to finance this Project with a number of other multilateral development banks, including the World Bank (WB), European Investment Bank (EIB), Kreditanstalt für Wiederaufbau (KfW), the French Development Agency (AFD), and the European Union (EU). The Borrower intends to apply part of the proceeds for Consulting services. 

The Project will include the design, construction, commissioning, testing, operation and maintenance of (i) a hydroelectric power production facility with an installed capacity of 206 MW, comprising of a 45 m high embankment dam with associated spillway, low level outlet, and eco-flow powerhouse, a 3.8 km long, 6.7 m diameter concreate-lined headrace tunnel, penstock and unit penstocks, power station comprising three generating units, access roads from Bugarama (Rwanda) and Kamanyola (DRC) to the dam site, and all ancillary and related works (the “Facility”) and (ii) a 7.3 km long 220 KV double-critical transmission line to evacuate the electricity from the Facility to the regional dispatch station in Kamanyola (DRC) (the “Transmission Line”).

REL and the EGL have agreed to jointly engage an Independent Engineer to provide expert advice and certification services when requested by REL and EGL. 

The specific services to be performed by Independent Engineer (“the Services”) are divided into four (4) parts. Each Part is briefly described below and is further detailed in the Terms of Reference. Part 2 will be covered under a later procurement process. 

The Services are expected to be performed in accordance with the following Project schedule, which shall be subject to adjustment depending on the actual progress of the Project:

 
The Consultant can obtain the detailed Terms of Reference (TOR) for the assignment directly from the Borrower’s Virtual Data Room (VDR). To obtain access to the VDR, the Consultant shall send an email to the following address IEprocurement@ruzizienergy.com. 

REL and EGL now invites eligible consulting firms (“Consultants”) to indicate their interest in providing the Services. Interested Consultants should provide information demonstrating that they have the required qualifications and relevant experience to perform the Services. The following information shall be provided when submitting an Expression of Interest (EOI): 

• A cover letter expressing interest in performing the Services 
• Consultant’s overall company organization structure, capabilities and experience • General statement of current capability to perform the Services, including:
• Overview of the Consultant’s management and technical / professional expertise capabilities (no need to provide CV’s or nominate specific individuals)
• Capability to perform the Services
• Consultant’s quality management system and / or ISO accreditation  
• General statement of past experience in providing the same or similar Services on hydroelectric power projects, including:
• Project name and location o Details of the project o Details of the Services performed by the Consultant  o Client reference number and contact details 
• Audited financial summary / report for the last five (5) years (2016, 2017, 2018, 2019 and 2020)
• Confirmation that the Consultant meets the applicable shortlisting criteria stated below relating to: o Conflict of Interest o Ineligibility, debarment or sanctions o Previous and/or current litigation

 
The shortlisting criteria for the selecting Consultants who will be invited to submit proposals will be as follows:

• Consultant has been in business for at least five (5) years 
• Most relevant experience in performing similar Services on a hydropower project similar in scale to the Ruzizi III Regional Hydropower Project. As a minimum, the Consultant must have performed the same or a similar service (e.g. independent engineer; panel of technical experts; panel of safety experts; etc.) on at least two (2) projects.
• Demonstrated sound financial situation and an annual average turnover of at least USD 2,000,000 over the past five (5) years (2016, 2017, 2018, 2019 and 2020). 
• Consultant has no conflict of interest in accordance with the requirements stated in this Request for EOI below.
• Consultant is not currently ineligible, debarred or sanctioned:
• by any signatory to the Agreement of Mutual Enforcement of Debarment

Decisions among Multilateral Development Banks o by the United Nations Security Council under Chapter VII of the Charter of the Unite Nations

• as a result of any corruptive, fraudulent coercive or obstructive practices or illicit payment by any individual Contracting State or the country of an individual Sponsor 
• Consultant has not been subject to or is not currently subject to litigation or arbitration as a result of the claimed non-performance of the same or similar Services by the Consultant within the past five (5) years.

 
Key Experts will not be evaluated at the shortlisting stage, only the experience of the firm and/or the group of firms will be considered.

The attention of interested Consultants is drawn to Section III, paragraphs 3.14, 3.16, and 3.17 of the “Procurement Regulations for IPF Borrowers” Fourth Edition, November 2020 (“Procurement Regulations”), setting forth the World Bank’s policy on conflict of interest.  In addition, the Consultant shall not: 

• have a conflict of interest with an individual Borrower; or
• have a conflict of interest with an individual Sponsor or EGL; or 
• have other existing or previous engagement on the Project with an individual Borrower; or 
• have other existing or previous engagement on the Project with an individual Sponsor or EGL.

 
Consultants may associate with other firms to enhance their qualifications, but should indicate clearly whether the association is in the form of a joint venture and/or a subconsultancy. In the case of a joint venture, all the partners in the joint venture shall be jointly and severally liable for the entire contract, if selected.

A Consultant will be selected in accordance with the Quality Based Selection (QBS) method set out in the Procurement Regulations.
